Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Verdikt (“Verdikt,” “we,” “us”), the independent ad-spend auditor. By creating an account, connecting an advertising or analytics account, or otherwise using the service, you agree to these Terms. If you do not agree, do not use Verdikt.

What Verdikt does

Verdikt connects, with your authorization, to your advertising and analytics accounts (such as Google Ads, Google Analytics 4, and Meta Ads), reads your campaign and performance data on a read-only basis, and returns an independent verdict on your ad spend — highlighting likely waste, over-claimed conversions, and underperformance, each with an estimated rupee figure and a suggested action. Verdikt does not manage, change, or place advertising on your behalf.

The verdict is independent analysis, not professional advice

Verdikt's output is our honest, automated opinion based on the data your connected accounts return. It is provided for your information only and is not financial, accounting, legal, tax, or professional advice, and is not a guarantee of any savings, performance, or outcome. Rupee figures are estimates derived from the data available to us and may differ from your actual results. You are solely responsible for any decision you make about your campaigns or budgets, and we recommend you apply your own judgement before acting on a verdict.

Eligibility & your account

You must be at least 18 years old and able to enter into a binding contract. When you connect an advertising or analytics account, you confirm that you own it or are authorized to access it and to grant Verdikt read-only access to its data. You are responsible for keeping your login credentials secure and for all activity under your account.

Connecting third-party accounts

Verdikt accesses your third-party platform data only with the read-only permissions you explicitly grant during the connect flow, and only to produce your audits. Your use of those platforms remains governed by their own terms (for example, the Google and Meta terms and policies). You are responsible for complying with them. You can disconnect any platform at any time from the connect screen, which deletes the stored access token immediately, and you can revoke access directly with the platform. How we access, store, and protect this data is described in our Privacy Policy.

Fees

Some features may be offered free and others may require payment. Where fees apply, they will be stated to you before you incur them. Verdikt's fee is never a percentage of your ad spend — our incentive is to find your waste, not to grow your budget. Any paid terms, billing cycle, and refund conditions will be presented at the point of purchase and form part of these Terms.

Intellectual property

The service, including its software, design, methodology, and the format of the verdicts, is owned by Verdikt and protected by applicable law. We grant you a limited, non-exclusive, non-transferable right to use the service for your own business. Your data remains yours; by using Verdikt you grant us the permission needed to process that data to provide the service, as described in the Privacy Policy.

Third-party platforms & trademarks

Verdikt is independent and is not affiliated with, endorsed by, or sponsored by Google, Meta, or any other platform. Product and company names mentioned are the trademarks of their respective owners and are used only to describe interoperability. We are not responsible for the availability, accuracy, or changes of any third-party platform or its API, which may affect the data we can read.

Disclaimer of warranties

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that the verdicts will be complete or achieve any particular result. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

Limitation of liability

To the maximum extent permitted by law, Verdikt will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or ad spend, arising out of or related to your use of the service — even if advised of the possibility. To the extent we are found liable, our total aggregate liability will not exceed the greater of the amount you paid us for the service in the three months before the claim, or INR 5,000.

Indemnification

You agree to indemnify and hold Verdikt harmless from any claim or demand arising out of your misuse of the service, your violation of these Terms, or your violation of any law or third-party right, including a platform's terms.

Termination

You may stop using Verdikt at any time by disconnecting your accounts and requesting deletion of your account. We may suspend or terminate access if you breach these Terms or use the service in a way that risks harm to others or to the platforms. On termination, the rights granted to you end; the sections that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the service after a change takes effect means you accept the revised Terms.

Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in India for any dispute arising out of or relating to these Terms or the service.
